Any controversy or claim arising out of or relating to this Agreement or any breach thereof shall be settled by arbitration in front of a single arbitrator in Pasco County, Florida. in accordance with the Commerical Arbitration Rules of the American Arbitration Association; and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The determination of the arbitrator in such proceeding shall be final, binding and non-appealable. Each party
retains the right to seek judicial assistance: (i) to compel arbitration; (ii) to obtain interim measures of protection prior to or pending arbitration; (iii) to seek injunctive relief in the courts of any jurisdiction as may be necessary and appropriate to protect the unauthorized disclosure of its proprietary or confidential information; and (iv) to enforce any decision of the arbitrator, including the final award. Each party agrees that any permitted judicial assistance arising out of or relating to this Agreement may be brought and prosecuted only in the United States District Court for the North Western District of Florida, and by execution of this Agreement via purchase each party hereto submits to the exclusive jurisdiction of such courts and waives any objection it might have based upon improper venue or inconvenient forum. The arbitration proceedings contemplated by this Agreement shall be as confidential and private as permitted by law |
